• We retain ownership of all intellectual property rights in our services, including software, designs, methodologies, and documentation
• Upon full payment, clients receive a non-exclusive license to use the deliverables for their intended purpose
• Clients retain ownership of their original content and materials provided to us

You may not copy, modify, distribute, sell, or lease any part of our services or included software without our explicit permission.

5. User Conduct

When using our services, you agree not to:

• Violate any applicable laws or regulations
• Infringe upon the intellectual property rights of others
• Use our services to distribute malware or other harmful code
• Attempt to gain unauthorized access to our systems or user accounts
• Use our services for any illegal activities
• Engage in any activity that could disable, overburden, or impair the proper functioning of our services

6. Payments and Billing

For paid services:

• Prices are stated in the agreed-upon currency and may exclude applicable taxes
• Payment terms will be specified in our invoices or separate agreements
• Late payments may incur additional fees or result in suspension of services
• We reserve the right to change our prices with prior notice

7. Limitation of Liability

To the maximum extent permitted by law:

• Our services are provided "as is" without any warranties, express or implied
• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages
• Our total liability for any claims arising from these Terms shall not exceed the amount paid by you for the services in question during the six months preceding the claim

8. Indemnification

You agree to indemnify and hold harmless EX-Studio, its affiliates, directors, employees, and agents from any claims, damages, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from your use of our services or your violation of these Terms.

9. Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes through our website or by other means. Your continued use of our services after such modifications constitutes your acceptance of the updated Terms.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Czech Republic, without regard to its conflict of law provisions.
